2021年股票激励计划
基于业绩的限制性股票奖励协议
本协议（简称“本协议”）协议)于2021年[●]日生效(“授予日期)，由特拉华州的体育平台(“公司)，以及[●](受让人”).
公司采用了Gulfport Energy Corporation 2021年股票激励计划（经修订）, 不时修改或补充, “计划”), 以此作为本协议的一部分, 本公司及其关联公司的合资格雇员及顾问的利益, 和公司董事会成员. 此处使用的且未另行定义的术语应具有计划中赋予其的含义.
根据计划, 该委员会, 一般由哪个部门负责管理计划, 已决定授予本协议规定的基于业绩的限制性股票单位，以使受让人有可能因提供服务而获得额外报酬，这符合公司及其股东的利益, to encourage the 受让人 to remain in the employ of the 公司 or its Related Companies and to increase the 受让人’s personal interest in the continued success and progress of the 公司.
因此，本公司和受让与人同意如下：

5.No Ownership Rights Prior to Issuance of Shares of Common Stock; 股息等价物.

10.授权者就业. 本协议中不包含任何内容, 公司或委员会不得就本协议采取任何行动, 授予或被解释为授予受让人继续受雇于或服务于本公司或任何关联公司的任何权利，或以任何方式干涉本公司或适用关联公司随时终止受让人的受雇于或服务的权利, 有或没有原因.
11.适用法律. 本协议受特拉华州法律管辖并根据其进行解释，但不影响其法律冲突原则. 如果本协议的任何条款被法院裁定为非法或不可执行, 则该条款将在最大可能范围内执行，本协议的其他条款将保持完全有效和可执行.
